ClaimEvidence terms of service
In short: ClaimEvidence is a tool for professional R&D tax advisers. It organises your client's engineering records into an evidence pack with dated, checked quotes. It doesn't give tax advice or decide what qualifies: you do, and you stay responsible for the claim. Subscriptions run for a minimum of 12 months. You must have your client's permission for the records you give us; we process them only to build your packs, under the data processing agreement. These summaries are for convenience; the numbered terms are what apply.
1. Who we are and who these terms are for
- ClaimEvidence is a trading name of Sprint Ready Ltd ("we", "us"), a company registered in England and Wales with number 17375471. ClaimEvidence is not a separate company.
- These terms form a contract between us and the business that creates an account, starts a subscription, buys credits or otherwise uses ClaimEvidence ("you", the "Client"). The person accepting them confirms they are authorised to bind that business.
- Business customers only. ClaimEvidence is supplied only to businesses and professionals acting in the course of their trade or profession. It is not available to consumers, and consumer protection legislation does not apply to the extent the law allows.
- You accept these terms by ticking the acceptance box, starting a subscription, buying credits, or using the service, whichever happens first.
- These terms include the Plans, credits and fees schedule, the Data processing agreement and the Acceptable use policy. If they conflict, the order of priority is: a separate signed agreement between us (if any), then the data processing agreement (for personal data), then the plans schedule (for fees and credits), then these terms, then the acceptable use policy.
2. Definitions
- Account: your ClaimEvidence account and the user logins under it.
- Authorised User: an individual you allow to use the service under your Account (your partners, employees or contractors).
- End Client: the business whose R&D work your engagement concerns, usually your client.
- Client Data: everything you, your Authorised Users or an End Client (including through an Upload Page) give to the service, such as ticket exports, comments, specifications and documents.
- Evidence Pack or Output: what the service produces from Client Data, including the on-screen results and the downloadable pack.
- Credit: the unit used to build an Evidence Pack, as described in the plans schedule.
- Plan: the pay-as-you-go option or the subscription you have chosen. Subscription Term: the minimum period of a subscription, and each renewal period.
- Upload Page: a page we host for you, in your branding, for your End Clients to send you their records. Uploader: a person who uses an Upload Page.
3. What the service does, and what it doesn't
- ClaimEvidence reads Client Data, groups it into candidate projects, drafts statements about each project's baseline, the advance sought, technological uncertainties and attempts, and cites each statement to verbatim, dated passages from the Client Data. Automated checks remove citations, dates and figures that don't match the source, and gaps are turned into questions.
- It is not tax advice. ClaimEvidence does not decide whether any activity or cost qualifies for R&D tax relief, does not write or submit claims, narratives or the Additional Information Form, and does not deal with HMRC on your behalf. It does not guarantee that a claim will be accepted, that an enquiry will be avoided or closed, or any amount of relief.
- You remain responsible for the claim. You, and any professional you engage, are responsible for reviewing every Output, deciding what to rely on, and for the content of any claim, report or advice you give, including your obligations under the Professional Conduct in Relation to Taxation guidance and any other professional rules that apply to you.
- The service uses AI models from third-party providers. AI can omit or misstate things. Our automated checks reduce this risk but cannot remove it: they check that a quote, date or figure appears in the cited source, not that the source is true, complete or that it supports a particular tax treatment. You must review the Output before relying on it.
- We may improve, change or withdraw features from time to time. We won't make a change that materially reduces the core service during a paid Subscription Term without telling you in advance.
4. Your Account and security
- You must give accurate business details, keep them up to date, and use business email addresses for your Account.
- You are responsible for your Authorised Users and for everything done under your Account. Keep logins confidential, use the two-factor authentication we provide, and remove access promptly when someone leaves.
- Tell us straight away at support@claimevidence.co.uk if you suspect unauthorised access to your Account.
- Logins are for named individuals. You may not share a login between people or let anyone outside your business use your Account, except an End Client using an Upload Page.
5. Client Data: your permission to give it to us
- You confirm, each time Client Data is given to the service, that you (or the End Client) have every right, consent and authority needed for us to process it to provide the service, including under your engagement letter, any confidentiality obligations to the End Client, and data protection law.
- Your agreement with the End Client must allow you to use service providers such as us to process its records. If the End Client requires its own confidentiality agreement with us, tell us before giving us its data and we will consider signing one.
- Client Data must not include special category personal data (such as health information about individuals), criminal records, payment card data or authentication secrets (passwords, API keys), except where it appears incidentally in engineering records and cannot reasonably be removed. Remove it where you can.
- You are responsible for the accuracy and lawfulness of Client Data and for having a lawful basis to share any personal data in it. The data processing agreement sets out how we handle personal data on your behalf.
6. Plans, credits, fees and payment
- The Plans, what a Credit covers, current prices and how Credits are added, roll over and expire are set out in the plans schedule, which forms part of these terms.
- Prices are in pounds sterling and exclude VAT. Sprint Ready Ltd is not currently registered for VAT. If we become registered, VAT will be added at the applicable rate and we will tell you beforehand.
- Payments are taken by our payment provider, Stripe. By starting a subscription you authorise us to charge your payment method each month for the subscription fee, and for any extra Credits you buy.
- Failed payments. If a payment fails we will tell you and try again. If it is still unpaid 7 days after we first tell you, we may suspend building new Evidence Packs until it is paid. The rest of the fees for the Subscription Term remain payable.
- Late payment. We may charge interest and compensation on overdue sums under the Late Payment of Commercial Debts (Interest) Act 1998.
- Refunds. Fees are not refundable, and unused Credits have no cash value, except where these terms say otherwise or the law requires. If an Evidence Pack fails to build because of a fault on our side, the Credit is returned to your Account.
- Disputes. If you think a charge is wrong, tell us within 30 days and we will look at it promptly. Please raise it with us before disputing it with your bank, so we can put it right.
- We may change prices for a renewal period by giving you at least 60 days' notice before the renewal date. Prices do not change during a Subscription Term you have already started.
7. Subscription term, renewal and cancellation
- Minimum term. Each subscription has a minimum Subscription Term of 12 months from the date it starts, billed monthly. You commit to paying all 12 monthly fees, even if you use fewer Credits than are included.
- Renewal. At the end of each Subscription Term the subscription renews for a further 12 months, unless you cancel at least 30 days before the end of the current term. We will remind you at least 30 days before each renewal date.
- Cancelling. You can give notice to cancel at any time in your Account or by email. Cancellation takes effect at the end of the current Subscription Term; until then you keep access and can use your Credits.
- Changing plan. You can move to a higher plan at any time; the new fee and monthly Credits apply from your next billing date and the Subscription Term continues. Moving to a lower plan takes effect at the next renewal.
- When a subscription ends, unused subscription Credits expire. Pay-as-you-go Credits remain available while your Account is open.
8. Free trial and offers
- The free trial lets you look at example exports from fictional companies and the results ClaimEvidence produced from them. It does not involve uploading any data. The free trial terms apply.
- Any discount we offer (such as a percentage off for signing up within a stated period) applies only as stated in the offer, to one Account per firm, cannot be combined with another offer, has no cash value and may be withdrawn for new sign-ups at any time. A discount on a subscription applies to the period stated in the offer; after that the standard price applies.
9. Upload Pages
- Where your Plan includes an Upload Page, we host a page in your name and branding where your End Clients can send you their records. Records uploaded through it are Client Data under these terms.
- You grant us a licence to use your name, logo and branding on your Upload Page and in messages it sends. You confirm you have the right to grant it.
- If you use your own web address for the Upload Page, you are responsible for setting it up correctly in your domain's settings and for keeping that domain; we provide the hosting and its security certificate.
- Uploaders accept the upload page terms, which explain that the page is provided for you by Sprint Ready Ltd, that we process the records on your behalf, and how. You must not describe the Upload Page in a way that contradicts them, and you remain responsible for giving your End Clients any privacy information you owe them.
- We may suspend an Upload Page that is being misused or attacked.
10. Confidentiality
- Each of us will keep the other's confidential information confidential, use it only to perform or receive the service, and share it only with people who need it for that purpose and are bound to keep it confidential.
- Client Data is your confidential information (and the End Client's). Our staff and contractors access it only where needed to provide, support or secure the service.
- This doesn't apply to information that is or becomes public through no fault of the recipient, was already lawfully known to it, is independently developed, or must be disclosed by law or a regulator (in which case the recipient will, where allowed, tell the other first).
- These obligations last during the contract and for five years after it ends, and indefinitely for Client Data.
11. Data protection
- For Client Data containing personal data, you (or the End Client) are the controller and we act as processor (or sub-processor) under the data processing agreement.
- For your Account, billing, support and our communications with you, Sprint Ready Ltd is the controller, as described in our privacy notice.
- We do not use Client Data to train AI models, and our AI providers are contractually prevented from doing so.
12. Intellectual property
- We (and our licensors) own the service, the software, the engine, its prompts and checks, the example library, our documentation and our branding. You get a non-exclusive, non-transferable right to use the service under these terms while your Account is active. You must not copy, resell, sub-license or build a competing product from it.
- You (or the End Client) keep ownership of Client Data. You give us a licence to use it only as needed to provide, secure and support the service for you.
- Once paid for, the Evidence Packs are yours to use in your professional work, including sharing them with your End Clients and with HMRC. The format, structure and wording of our templates remain ours.
- If you send us suggestions or feedback, we may use them freely, without obligation to you.
- We may use anonymous, aggregated statistics about use of the service (for example, how many records were processed) that do not identify you, any End Client or any individual.
13. Acceptable use
You and your Authorised Users must follow the acceptable use policy. We may suspend access straight away if it is breached in a way that puts the service, other customers, or anyone's data at risk.
14. Our commitments
- We will provide the service with reasonable skill and care, and keep Client Data secure as described in the data processing agreement.
- We aim to keep the service available, but it may sometimes be unavailable for maintenance, updates, or reasons outside our control. We will give notice of planned maintenance where we reasonably can.
- Apart from what these terms expressly say, the service and Outputs are provided as they are, and all other warranties, conditions and terms (including as to satisfactory quality or fitness for a particular purpose) are excluded to the extent the law allows.
15. Indemnity
- You will reimburse us for any loss, damages, fines or reasonable costs (including legal costs) we incur because of a claim by an End Client, an individual, HMRC or another third party that arises from: Client Data being given to us without the rights, consents or authority described in section 5; your use of an Output in a claim or advice; or your breach of the acceptable use policy.
- We will tell you promptly of any such claim, let you take part in handling it, and not settle it without consulting you.
16. Limits on our liability
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law.
- We are not liable for: loss of profits, revenue, business, goodwill or anticipated savings; any R&D tax relief or credit not obtained, reduced or clawed back; any tax, interest or penalty charged to you or an End Client; the cost of any HMRC enquiry or appeal; claims made against you by your End Clients; or any indirect or consequential loss.
- Our total liability to you in each contract year, however it arises, is limited to the total fees you paid us in the 12 months before the event giving rise to the claim, or £1,000 if more.
- These limits reflect the price of the service, the fact that you, as the professional, decide what goes into a claim, and that you are best placed to insure against professional risk. You confirm you have considered them and that they are reasonable.
17. Suspension and ending the contract
- We may suspend your Account, wholly or partly, if you don't pay as described in section 6, if you breach the acceptable use policy, or if needed to protect the service or anyone's data. We will tell you why and restore access as soon as the reason is resolved.
- Either of us may end the contract by written notice if the other materially breaches it and doesn't remedy the breach within 30 days of being asked to, or becomes insolvent.
- If you end the contract early for any other reason, the fees for the rest of the Subscription Term remain payable.
- When the contract ends, your access ends. For 30 days afterwards you can ask us to provide your Evidence Packs; after that we delete Client Data as set out in the data processing agreement. Sections that by their nature should continue (including 10, 12, 15, 16 and 20) continue after the contract ends.
18. Things outside our control
We are not responsible for delay or failure caused by events beyond our reasonable control, including failures of internet, hosting or AI providers, cyber-attacks we could not reasonably prevent, or government action. If such an event prevents the service for more than 30 consecutive days, either of us may end the contract by notice without further liability, and you will be refunded any fees paid for the period after it ends.
19. Changes to these terms
We may update these terms. We will give at least 30 days' notice of changes that materially affect you, by email to your Account's main contact. Changes that disadvantage you take effect from your next renewal unless required by law or a regulator. The version and effective date are shown at the top.
20. General
- These terms are the entire agreement between us about the service and replace earlier discussions; neither of us relies on statements not set out in them.
- You may not transfer the contract without our written consent. We may transfer it to a company that takes over the ClaimEvidence business, and will tell you if we do.
- Notices to us go to support@claimevidence.co.uk; notices to you go to your Account's main contact email.
- If any part of these terms is found unenforceable, the rest still applies. A delay in enforcing a right is not a waiver of it.
- No one other than you and us has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.
- You confirm that you are not subject to UK sanctions and will not use the service in breach of sanctions or export controls.
- These terms and any dispute about them (including non-contractual disputes) are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. Before going to court, each of us will try in good faith to resolve a dispute by discussion for at least 30 days.
